TERMS OF SERVICE

These Terms of Service ("Terms") constitute a legally binding agreement made between you ("User," "you," or "your") and Winona Digital Labs LLC ("Company," "we," "us," or "our") concerning your access to and use of our native mobile applications, software, and related services (collectively, the "Services").

By downloading, installing, or using the Services, you agree to be bound by these Terms. If you do not agree with all of these Terms, you are expressly prohibited from using the Services and must uninstall them immediately.

1. Eligibility & Age Restriction

By accessing or using the Services, you represent and warrant that:

1. You are at least 13 years of age. If you are between 13 and the legal age of majority in your jurisdiction, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.
2. You have the legal capacity to enter into a binding contract with us.
3. You are not located in a country subject to U.S. Government embargo, or designated as a "terrorist supporting" country, and you are not listed on any U.S. Government list of prohibited or restricted parties.

2. Intellectual Property Rights

Unless otherwise indicated, the Services and all source code, software, application designs, databases, functionality, graphics, user interfaces, audio, video, text, and trademarks (collectively, the "Content") are owned or controlled by Winona Digital Labs LLC and are protected by United States and international copyright, trademark, and intellectual property laws.

Limited License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the Services for your personal, non-commercial internal use on a mobile device owned or controlled by you.

3. User Conduct & Prohibited Activities

You agree not to engage in any of the following prohibited activities:

• Reverse Engineering: Decentering, decompiling, reverse engineering, disassembling, or attempting to derive the source code of the Services.
• Unauthorized Access: Bypassing, disabling, or interfering with security-related features or digital rights management mechanisms embedded in the Services.
• Automated Use: Using scripts, bots, spiders, or automated data gathering tools to scrape, extract, or monitor content from the Services.
• Modification: Modifying, adapting, translating, or creating derivative works based upon the Services.
• Commercial Exploitation: Renting, leasing, sublicensing, selling, reselling, or commercially exploiting any portion of the Services without express written authorization.
• Unlawful Activity: Using the Services for any illegal purpose or in violation of any local, state, national, or international law.

4. In-App Purchases & Billing

Certain Services may offer virtual items, premium functionality, or digital content for purchase ("In-App Purchases").

• App Store Billing: All In-App Purchases are processed exclusively through the applicable app marketplace (Apple App Store or Google Play Store). Payments, billing inquiries, and refunds are governed strictly by the third-party terms and policies of the respective app marketplace.
• Finality of Sales: Except as required by mandatory consumer protection laws or the terms of the app marketplace, all purchases are final and non-refundable. We do not issue direct monetary refunds or credits.
• Modification of Pricing: We reserve the right to alter pricing, availability, and features of In-App Purchases at any time without prior notice.

5. Third-Party Content & Advertisements

The Services may contain integrated advertisements served by third parties (such as Google AdMob) or links to third-party websites and resources. We do not control, endorse, or assume responsibility for any third-party advertisements, websites, goods, or services. Your interactions with third-party advertisers are solely between you and the third party.

6. Disclaimers

THE SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, WINONA DIGITAL LABS LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

• THE SERVICES WILL MEET YOUR SPECIFIC REQUIREMENTS.
• THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.
• RESULTS, DATA, OR INFORMATION OBTAINED FROM THE SERVICES WILL BE ACCURATE OR RELIABLE.
• ANY DEFECTS OR ERRORS IN THE SOFTWARE WILL BE CORRECTED.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WINONA DIGITAL LABS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, MEMBERS, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES (INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION) ARISING FROM OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE GREATER OF:

1. THE TOTAL AMOUNT PAID BY YOU TO US FOR IN-APP PURCHASES IN THE SIX (6) MONTHS PRECEDING THE CLAIM; OR
2. FIFTY UNITED STATES DOLLARS ($50.00 USD).

SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

8. Indemnification

You agree to defend, indemnify, and hold harmless Winona Digital Labs LLC and its members, officers, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

1. Your breach of these Terms.
2. Your misuse of the Services.
3. Your violation of any third-party right, including intellectual property or privacy rights.

9. Governing Law & Dispute Resolution

A. Governing Law

These Terms and your use of the Services shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law principles.

B. Dispute Resolution

Any legal suit, action, or proceeding arising out of or related to these Terms or the Services shall be instituted exclusively in the state or federal courts located in Denver, Colorado. You hereby consent to and waive all defenses of lack of personal jurisdiction and forum non conveniens with respect to venue and jurisdiction in such courts.

10. Modifications to Services & Terms

We reserve the right to modify, suspend, or discontinue any aspect of the Services (temporarily or permanently) at any time without notice or liability to you.

We may revise these Terms from time to time. Updated versions will be posted within the Services with a revised "Last Updated" date. Your continued use of the Services following the posting of modifications indicates your acceptance of the revised Terms.

11. Severability & Entire Agreement

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Winona Digital Labs LLC regarding your use of the Services.
